1. Acceptance of Terms

By downloading, installing, or using the Backstop Commitments application (“the App,” “Service,” or “we”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Service

Backstop Commitments is a personal productivity application that:

  • Connects to your Gmail account with your permission
  • Analyzes your emails to identify potential commitments and action items
  • Presents these commitments in a triage interface for your review
  • Helps you track and manage your commitments

The Service is provided “as is” and is intended for personal productivity use.

3. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this age requirement.

4. Account and Access

4.1 Google Account

You access the App using your Google account. You are responsible for:

  • Maintaining the security of your Google account credentials
  • All activities that occur through your account
  • Ensuring you have the right to grant access to the Gmail accounts you connect

4.2 Gmail Access

By connecting your Gmail account, you grant the App permission to:

  • Read emails in your inbox and sent folder
  • Access email metadata (subject, sender, dates)

You may revoke this access at any time through your Google Account settings.

5. Acceptable Use

You agree NOT to:

  • Use the App for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or other users’ data
  • Interfere with or disrupt the App’s functionality
  • Use the App to process emails from accounts you do not own or have permission to access
  • Reverse engineer, decompile, or attempt to extract the source code of the App
  • Use automated systems or bots to access the App
  • Resell or redistribute the App or its features

6. Intellectual Property

6.1 Our Rights

The App, including its design, features, and content, is owned by Backstop Commitments and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the App for personal purposes.

6.2 Your Content

You retain ownership of your emails and data. By using the App, you grant us a limited license to process your emails solely for the purpose of providing the Service.

7. Third-Party Services

The App integrates with third-party services including:

  • Google Gmail API – For email access
  • Google Sign-In – For authentication
  • Google Cloud Platform – For infrastructure
  • Google Vertex AI (Gemini) – For AI-powered analysis

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

8. Disclaimers

8.1 Service Availability

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not guarantee that:

  • The App will be available at all times or without interruption
  • The App will be error-free or secure
  • Commitment extraction will be 100% accurate
  • All commitments in your emails will be detected

8.2 Email Analysis

The App uses artificial intelligence to analyze emails. AI analysis is not perfect and may:

  • Miss some commitments
  • Incorrectly identify non-commitments as commitments
  • Misinterpret dates or deadlines

You are responsible for verifying the accuracy of extracted commitments and should not rely solely on the App for critical deadlines.

8.3 No Professional Advice

The App is a productivity tool only. It does not provide legal, financial, medical, or other professional advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

10. Indemnification

You agree to indemnify and hold harmless Backstop Commitments, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

11.1 By You

You may stop using the App at any time by:

  • Uninstalling the App
  • Revoking Gmail access in your Google Account settings
  • Requesting account deletion at privacy@getbackstop.com

11.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Reasons may include:

  • Violation of these Terms
  • Suspected fraudulent or abusive activity
  • Discontinuation of the Service

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on our website
  • Updating the “Last Updated” date
  • Providing notice through the App for significant changes

Your continued use of the App after changes constitutes acceptance of the new Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of France, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall be resolved through:

  1. Good-faith negotiation between the parties
  2. If negotiation fails, binding arbitration or courts in France

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Backstop Commitments regarding your use of the App.
